4 Thank you for your interest in the OpenLayers project, which is
5 presently maintained by MetaCarta, Inc. (the "Maintainer"). In order
6 to clarify the intellectual property license granted with
7 Contributions from any person or entity, the Maintainer must have a
8 Contributor License Agreement (CLA) on file that has been signed by
9 each Contributor, indicating agreement to the license terms
10 below. This license is for your protection as a Contributor as well as
11 the protection of the Maintainer and its users; it does not change
12 your rights to use your own Contributions for any other purpose.

14 This version of the Agreement allows an entity (the "Corporation") to
15 submit Contributions to the Maintainer, to authorize Contributions
16 submitted by its designated employees to the Maintainer, and to grant
17 copyright and patent licenses thereto.

51 You accept and agree to the following terms and conditions for Your
52 present and future Contributions submitted to the Maintainer.  In
53 return, the Maintainer shall not use Your Contributions in a way that
54 is contrary to the public benefit.  Except for the license granted
55 herein to the Maintainer and recipients of software distributed by
56 the Maintainer, You reserve all right, title, and interest in and to
57 Your Contributions.

59 1. Definitions.

61    "You" (or "Your") shall mean the copyright owner or legal entity
62    authorized by the copyright owner that is making this Agreement
63    with the Maintainer. For legal entities, the entity making a
64    Contribution and all other entities that control, are controlled
65    by, or are under common control with that entity are considered to
66    be a single Contributor.  For the purposes of this definition,
67    "control" means (i) the power, direct or indirect, to cause the
68    direction or management of such entity, whether by contract or
69    otherwise, or (ii) ownership of fifty percent (50%) or more of the
70    outstanding shares, or (iii) beneficial ownership of such entity.

72    "Contribution" shall mean any original work of authorship,
73    including any modifications or additions to an existing work, that
74    is intentionally submitted by You to the Maintainer for inclusion
75    in, or documentation of, any of the products owned or managed by
76    the Maintainer (the "Work"). For the purposes of this definition,
77    "submitted" means any form of electronic, verbal, or written
78    communication sent to the Maintainer or its representatives,
79    including but not limited to communication on electronic mailing
80    lists, source code control systems, and issue tracking systems that
81    are managed by, or on behalf of, the Maintainer for the purpose of
82    discussing and improving the Work, but excluding communication that
83    is conspicuously marked or otherwise designated in writing by You
84    as "Not a Contribution."

86 2. Grant of Copyright License.  Subject to the terms and conditions of
87    this Agreement, You hereby grant to the Maintainer and to
88    recipients of software distributed by the Maintainer a perpetual,
89    worldwide, non-exclusive, no-charge, royalty-free, irrevocable
90    copyright license to reproduce, prepare derivative works of,
91    publicly display, publicly perform, sublicense, and distribute Your
92    Contributions and such derivative works.

94 3. Grant of Patent License.  Subject to the terms and conditions of
95    this Agreement, You hereby grant to the Maintainer and to
96    recipients of software distributed by the Maintainer a perpetual,
97    worldwide, non-exclusive, no-charge, royalty-free, irrevocable
98    (except as stated in this section) patent license to make, have
99    made, use, offer to sell, sell, import, and otherwise transfer the
100    Work, where such license applies only to those patent claims
101    licensable by You that are necessarily infringed by Your
102    Contribution(s) alone or by combination of Your Contribution(s)
103    with the Work to which such Contribution(s) was submitted. If any
104    entity institutes patent litigation against You or any other entity
105    (including a cross-claim or counterclaim in a lawsuit) alleging
106    that your Contribution, or the Work to which you have contributed,
107    constitutes direct or contributory patent infringement, then any
108    patent licenses granted to that entity under this Agreement for
109    that Contribution or Work shall terminate as of the date such
110    litigation is filed.

112 4. You represent that You are legally entitled to grant the above
113    license. You represent further that each employee of the
114    Corporation designated on Schedule A below (or in a subsequent
115    written modification to that Schedule) is authorized to submit
116    Contributions on behalf of the Corporation.

118 5. You represent that each of Your Contributions is Your original
119    creation (see section 7 for submissions on behalf of others).  You
120    represent that Your Contribution submissions include complete
121    details of any third-party license or other restriction (including,
122    but not limited to, related patents and trademarks) of which you
123    are personally aware and which are associated with any part of Your
124    Contributions.

126 6. You are not expected to provide support for Your Contributions,
127    except to the extent You desire to provide support. You may provide
128    support for free, for a fee, or not at all. Unless required by
129    applicable law or agreed to in writing, You provide Your
130    Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS
131    OF ANY KIND, either express or implied, including, without
132    limitation, any warranties or conditions of TITLE,
133    NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR
134    PURPOSE.

136  7. Should You wish to submit work that is not Your original creation,
137     You may submit it to the Foundation separately from any
138     Contribution, identifying the complete details of its source and
139     of any license or other restriction (including, but not limited
140     to, related patents, trademarks, and license agreements) of which
141     you are personally aware, and conspicuously marking the work as
142     "Submitted on behalf of a third-party: [named here]".

144  8. It is your responsibility to notify the Maintainer when any change
145     is required to the list of designated employees authorized to
146     submit Contributions on behalf of the Corporation, or to the
147     Corporation's Point of Contact with the Maintainer.
